CIRSA has called an extraordinary shareholders meeting for November 30 to vote on its proposed cross-border merger with Lottomatica Group. The Spanish company lists December 1 as a second-call date if the first meeting cannot proceed.
The official meeting page gives investors access to the call notice, proposed resolutions and voting materials. The agenda includes approval of the common merger plan signed by both companies' boards on October 8.
Under the documented merger plan, CIRSA would be absorbed into Lottomatica, which would remain the surviving legal entity. CIRSA's assets, liabilities and legal relationships would transfer without a separate liquidation process.
Shareholders will also consider an extraordinary dividend of €1.56 per CIRSA share from the share premium account. Other proposals cover a one-year authority for additional cash distributions and approvals connected with financing, guarantees and asset transfers.
Lottomatica's transaction page also hosts the merger plan and supporting reports. The combination remains subject to shareholder and regulatory approvals, with completion planned for 2027.
